Independent Contractor Agreement
This Independent Contractor Agreement ("Agreement") is entered into on this date between Myprotherapies ("Company"), and the service provider (Named & Signed below) ("Service Provider"), collectively referred to as the "Parties."
Services to be Provided: Service Provider agrees to provide therapy and counselling services through the online platform operated by the Company. The specific services to be provided, along with the terms and conditions, will be defined in the separate agreement between the Company and the Service Provider.
Independent Contractor Relationship: Service Provider acknowledges and agrees that they are an independent contractor and not an employee or agent of the Company. Service Provider retain the right to control the manner and means by which they perform their services, and they are responsible for their own expenses, licenses, certifications, and taxes.
Compensation: Service Provider shall be compensated based on the following pay scale, which takes into account inflation:
Trainee
a) First six months: £15 per session (adjusted for inflation).
b) Second six months: £16 per session (adjusted for inflation).
c) Third six months: £17 per session (adjusted for inflation).
d) Fourth six months: £18 per session (adjusted for inflation).
Qualified
a) First six months: £20 per session (adjusted for inflation).
b) Second six months: £21 per session (adjusted for inflation).
c) Third six months: £22 per session (adjusted for inflation).
d) Fourth six months: £23 per session (adjusted for inflation).
The Company shall adjust the pay rates at the beginning of each six-month period based on the prevailing inflation rate. The adjustment shall be made in good faith and in line with the prevailing economic conditions, ensuring that the compensation remains fair and reasonable.
The Company reserves the right to deduct any costs incurred for Zoom licenses or enhanced DBS checks from the Service Provider's compensation.
Compliance with Laws and Ethical Standards: Service Provider shall comply with all applicable laws, regulations, and ethical standards related to the provision of therapy and counselling services. It is the Service Provider's responsibility to maintain any necessary training, certifications, and qualifications.
Confidentiality: Service Provider shall maintain the confidentiality of all client information and any other confidential or proprietary information of the Company obtained during the provision of services. Service Provider shall not disclose or use such information for any purpose other than performing the services under this Agreement, unless required by law.
Liability and Indemnification: Service Provider acknowledges and agrees that they are solely responsible for the professional services they provide. The Company shall not be liable for any actions, omissions, or errors of the Service Provider. Service Provider shall indemnify and hold the Company harmless from any claims, damages, liabilities, or expenses arising out of or related to the services provided by the Service Provider.
Termination: Either party may terminate this Agreement by providing written notice to the other party. Upon termination, the Service Provider shall cease providing services through the Company's platform, and any outstanding payments due to the Service Provider shall be paid within [number of days] after the termination date.
Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with this Agreement shall be resolved through mediation or, if necessary, through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).
Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter hereof.
By Agreeing below, the Parties acknowledge that they have read, understood, and agreed to the terms and conditions of this Independent Contractor Agreement.
